Terms of Use

1. Introduction

These Terms of Service (“Terms”) govern access to and use of the Cocendo platform, including the website, apps, loyalty programs, rewards systems, and related tools (collectively, the “Services”).

The Services are operated by Cocendo Social Engine Inc. (“Cocendo”, “we”, “us”, “our”), a Canadian corporation providing a coalition loyalty and marketing platform connecting merchants, brands, institutions, consumers, and charities.

By using the Services or participating in any Cocendo program, you agree to these Terms. If you do not agree, you must not use the Services.

 

2. Parties and Roles

Cocendo Social Engine Inc.

  • Operates the loyalty, coupon, gift card, and rewards platform
  • Manages technical infrastructure, reporting, and program rules

Diewert.org

  • Registered Canadian charity
  • Receives and distributes charitable funds generated through Cocendo
  • Manages charitable receipting, governance, and reporting

Merchants

Retailers and service providers participating in Cocendo’s coalition loyalty and coupon programs.

Brands & Non‑Merchant Businesses

Organizations purchasing points, advertising, or product placements.

Institutions

Universities, colleges, and schools collaborating with Cocendo to support students.

Consumers & Students

Individuals using the Services, including earning or redeeming points, coupons, or gift cards.

If a signed commercial agreement conflicts with these Terms, the signed agreement prevails.

 

3. Eligibility

You may use the Services only if:

  • You are the age of majority in your province/territory, or have parental consent
  • You are legally able to enter contracts
  • You have authority to bind a business if acting on its behalf

Cocendo may require identity or business verification.

 

4. Account Registration & Security

To access certain features, you must create an account and provide accurate information.

You agree to:

  • Keep login credentials confidential
  • Notify Cocendo of unauthorized access
  • Update your information as needed

You are responsible for all activity under your account.

 

5. Program Structure & Key Concepts

5.1 Points & Charity Bank

Customer Points

Earned by consumers through spending or engagement; redeemable for discounts or benefits.

Charity Points

Dedicated to food‑security programs; may come from merchant fees, brand purchases, or breakage.

Charity Bank

A pooled fund of Charity Points used to direct targeted spending and food‑security support.

Points have no cash value and are not financial products.

5.2 Discounts & Offers

Merchant‑funded discounts may include:

  • New customer offers
  • Return visit incentives
  • Coalition loyalty discounts

Cocendo does not fund discounts.

 

6. Merchant Participation

6.1 Enrollment & Zero‑Cost Entry

Merchant enrollment is free. Merchants must honor all active Cocendo discounts.

6.2 Per‑Visit Fee & Allocation

For each eligible transaction involving a Cocendo benefit:

  • Merchant pays $1.50
    • $1.00Diewert.org
    • $0.50 → Cocendo operations

6.3 Merchant Obligations

Merchants must:

  • Honor configured discounts
  • Report eligible transactions
  • Remit fees promptly
  • Comply with consumer protection laws

Merchants are responsible for their own products and services.

6.4 Revenue Sharing

Cocendo may share:

  • 40% of brand product placement revenue
  • Up to 60% of point‑income tied to merchant‑aligned campaigns

Details appear in merchant dashboards or agreements.

 

7. Brands & Non‑Merchant Business Participation

7.1 Point Purchases

Brands may purchase points (e.g., 1.5¢ each):

  • $1.00Diewert.org
  • $0.50 → Cocendo

7.2 Product Placement & Marketplace

Brands may pay for product placement. Cocendo may share fees with merchants.

 

8. Gift Cards & Breakage

Cocendo offers standard and personalized gift cards.

Standard Gift Cards

  • Funded by purchaser
  • Unused balances may convert to Charity Points (subject to law)

Personalized Gift Cards

  • May include a technology/personalization fee
  • Portions may support food‑security programs

Gift card terms appear at purchase.

 

9. Points, Expiry & Conversion

9.1 Earning & Redemption

Rules vary by campaign or merchant.

9.2 Expiry

Points may expire (e.g., after 90 days). Notice provided where required.

9.3 Conversion to Charity Points

Expired points may convert to Charity Points and support food‑security programs.

 

10. Institutional Participation

Institutions may partner with Cocendo but do not manage charitable funds. Reporting is subject to privacy laws.

 

11. Use of the Services

You must not:

  • Misuse or reverse‑engineer the Services
  • Manipulate loyalty or coupon programs
  • Harvest or misuse data

Cocendo may suspend or terminate access for violations.

 

12. Intellectual Property

All content and software are owned by Cocendo or licensors. You receive a limited license to use the Services.

 

13. User Content

By submitting content, you grant Cocendo a license to use it for service and marketing purposes, subject to privacy laws.

 

14. Third‑Party Services

Cocendo is not responsible for third‑party websites or payment processors.

 

15. Data Protection & Privacy

Personal information is handled according to Cocendo’s Privacy Policy, aligned with PIPEDA and applicable laws.

 

16. Disclaimers

The Services are provided “as is” without warranties. Cocendo does not guarantee specific outcomes.

 

17. Limitation of Liability

Cocendo is not liable for indirect or consequential damages. Total liability is limited to the greater of:

  • Fees paid in the prior 3 months, or
  • $100 CAD
 

18. Indemnity

You agree to indemnify Cocendo and Diewert.org for violations of these Terms or misuse of the Services.

 

19. Termination

Cocendo may suspend or terminate access at any time. You may terminate your account at any time.

 

20. Governing Law

These Terms are governed by the laws of British Columbia and Canada.

 

21. Changes to These Terms

Cocendo may update these Terms. Continued use constitutes acceptance.
